Terms of Sale

These terms apply when you buy or use The Retainer Kit (“the kit”). The kit is sold by Mateus Renner, an individual based in Brazil (“we”, “us”). You can reach us at hello@theretainerkit.com.

Who processes your purchase

Purchases are processed by Gumroad, which acts as merchant of record: they take the payment, charge any sales tax or VAT, issue your receipt and deliver the download. Gumroad's checkout terms and privacy policy apply to the payment and to your payment data.

What you're buying

A digital download, in one of two versions:

• Kit: a guide, document templates and a spreadsheet, as Word/Google Docs and Excel/Google Sheets files, plus Markdown versions.
• Kit + AI Pack: everything in the Kit, plus assistant instructions, prompts, sample files and configuration files for AI tools (Claude, ChatGPT, Claude Code, Codex). The AI Pack doesn't include access to any AI service; you use your own accounts.

We also offer the monthly report template for free. These terms apply to it too, except the section on refunds.

License

The license is per studio. A studio is one business: a freelancer, studio or agency, including its employees and contractors when they work on its clients.

• You can use, edit, rebrand and adapt the materials with an unlimited number of your own clients, including putting your name on the documents you send them.
• You can't resell, redistribute, share or publish the kit, the AI Pack or substantial parts of them, as they are or modified. That includes offering them as templates, prompts or courses for other people.

Documents you send to your own clients as part of your work are always fine.

Not legal, financial or tax advice

The templates are not legal advice. The Retainer Agreement Template is a generic starting point, and using it doesn't create a lawyer–client relationship. Laws vary by state and country, so have a qualified lawyer where you work review any contract before you use it with clients. Pricing and accounting examples use hypothetical numbers; ask your accountant how rules such as deferred revenue apply to you.

AI output

The AI Pack produces drafts generated by third-party AI tools. Output varies between runs and models and can contain mistakes, including in hours and amounts. You are responsible for reviewing anything before you send it to a client. We are not responsible for the AI services themselves, their availability, pricing or how they handle the data you give them.

Refunds

If the kit isn't useful to you, ask for a refund within 14 days of purchase and you get your money back in full, no questions asked. Email hello@theretainerkit.com or use the link in your Gumroad receipt. The refund goes back to your original payment method through Gumroad.

Updates

All v1.x updates are free. A future major version (v2) may be a paid upgrade; v1 buyers will get a discount.

Updates are sent to the email address you used at checkout. For the AI Pack, updates cover the prompts and instructions. We don't promise integrations with, or continued compatibility with, any specific third-party tool.

No warranty

The kit is provided “as is.” We wrote it carefully and use the same model in our own work, but we don't guarantee any particular business result, and we don't guarantee that the templates fit your situation or the law where you work. That's why the refund exists.

Limitation of liability

To the extent the law allows, our total liability for any claim related to the kit is limited to the amount you paid for it, and we are not liable for indirect losses such as lost profits or lost clients. Nothing in these terms limits rights you have as a consumer that can't be limited by contract.

Governing law

These terms are governed by the laws of Brazil. If you buy as a consumer, you also keep any protections the law of the country where you live gives you.

Changes

If we change these terms, we'll update the date at the top of this page. The terms in place when you bought apply to your purchase.
